Terms of Service

By accessing or using TransporTrades ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and TransporTrades. We may modify these Terms at any time; continued use after modifications constitutes acceptance of the updated Terms.

TransporTrades provides automated order-routing services that connect webhook alerts from your signal source to your connected broker account. Specifically, we:

• Receive webhook alerts from your configured signal source
• Parse and validate alert payloads
• Route trading instructions to your connected broker via broker APIs
• Display routing status, broker responses, and order history

We do not act as your broker, do not execute trades ourselves, and do not provide investment advice, trade signals, or portfolio management.

To use the Service, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Reside in a jurisdiction where trading the relevant financial instruments is legal
• Maintain an active account with a supported broker
• Have a TradingView subscription that supports webhooks

By using the Service, you represent and warrant that you meet all eligibility requirements.

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized access
• Not share your account or webhook secrets with others
• Not create multiple accounts to circumvent restrictions

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Submit false or misleading trading alerts
• Use the Service to manipulate markets
• Reverse engineer or attempt to extract source code
• Use automated systems to overload our infrastructure
• Resell or redistribute access to the Service

Violation of acceptable use policies may result in immediate termination.

The Service, including its design, code, documentation, and content, is protected by intellectual property laws. You may not:

• Copy, modify, or distribute our software
• Use our trademarks without permission
• Claim ownership of our intellectual property

Your trading strategies and alert configurations remain your property. We claim no rights to your trading data beyond what is necessary to provide the Service.

Subscription fees are processed through Whop. By subscribing, you agree to:

• Pay all applicable fees as described in our pricing
• Authorize recurring charges based on your subscription plan
• Provide accurate and current payment information

Subscriptions renew automatically unless cancelled. Refunds are handled according to Whop's refund policy. We reserve the right to change pricing with 30 days notice.

TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

By using the Service, you acknowledge that:

• You may lose more than your initial investment
• Past performance does not guarantee future results
• Automated workflows introduce technical and operational risks
• You are solely responsible for your trading decisions, strategy logic, and risk controls
• We route instructions but cannot guarantee broker acceptance, execution, or outcomes

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Merchantability and fitness for a particular purpose
• Accuracy or reliability of the Service
• Uninterrupted or error-free operation
• Results from using the Service

No advice or information obtained through the Service creates any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are NOT liable for:

• Trading losses or lost profits
• Indirect, incidental, or consequential damages
• Data loss or corruption
• Service interruptions or delays
• Broker, exchange, clearing, or market-center errors, rejections, halts, or outages
• Third-party actions or failures

OUR TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID DURING THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow liability limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless TransporTrades, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your trading activities and decisions
• Your violation of these Terms
• Your violation of any third-party rights
• Your breach of applicable laws or regulations

You may terminate your account at any time through your account settings.

We may suspend or terminate your access:

• For violation of these Terms
• For non-payment of fees
• If required by law
• At our discretion with reasonable notice

Upon termination, your right to use the Service ends immediately. Provisions regarding intellectual property, liability, indemnification, and dispute resolution survive termination.

Any disputes arising from these Terms or the Service shall be resolved as follows:

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

For matters not subject to arbitration under Section 13, you consent to the exclusive jurisdiction of the federal or state courts located in Delaware.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

The failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and Disclosures, constitute the entire agreement between you and TransporTrades regarding the Service.

These Terms supersede all prior agreements, representations, and understandings regarding the Service.
